These Terms and Conditions of Use and Sale constitute a binding agreement between you and Upfitter Supply Co. "Company," "we," "us," and "our" refer to Upfitter Supply Co. "You" refers to any website visitor, buyer, supplier, seller, manufacturer, agency, upfitter, reseller, inventory owner, or other party using the website or participating in a transaction.
By accessing the website, creating an account, submitting a listing, purchasing a product, participating as a supplier, or using any service offered by Upfitter Supply Co., you agree to these Terms.
If you do not agree to these Terms, do not use the website, submit listings, purchase products, or participate as a supplier.
1Nature of Business
Upfitter Supply Co. may operate in more than one capacity depending on the product and transaction. For some products, Upfitter Supply Co. may sell directly as the seller of record. For other products, Upfitter Supply Co. may operate as a marketplace, listing platform, broker, consignee, or facilitator connecting buyers with third-party suppliers, manufacturers, dealers, upfitters, agencies, or inventory owners.
Unless a product is expressly identified as an Upfitter Supply Co. proprietary product or as inventory sold directly by Upfitter Supply Co., the product may be supplied, fulfilled, warranted, or serviced by a third party. Product descriptions, specifications, compatibility information, lead times, and warranty details may be provided by the supplier or manufacturer.
2Product Information and Fitment
Upfitter Supply Co. attempts to provide accurate product information, but vehicle fitment and compatibility can depend on year, make, model, trim, package, prior modifications, wiring configuration, agency specifications, and installation method.
Buyers are responsible for confirming that a product is appropriate for the intended vehicle and use before purchase and before installation.
Any fitment guidance, product recommendation, quote, website listing, or compatibility note is provided for general purchasing assistance only. It is not a substitute for professional inspection, engineering review, manufacturer documentation, or qualified installation judgment.
3Professional Installation Required
Products sold through Upfitter Supply Co. may involve vehicle electrical systems, safety systems, lighting systems, sirens, radios, consoles, partitions, mounts, push bumpers, cargo equipment, and other vehicle modifications. These products are intended for installation by properly trained, qualified, and, where required, licensed automotive, emergency-vehicle, or low-voltage professionals.
By purchasing a product, you acknowledge and agree that improper installation can affect vehicle safety, drivability, electrical systems, factory warranties, regulatory compliance, and occupant protection.
Upfitter Supply Co. is not responsible for damage, injury, malfunction, regulatory violation, vehicle downtime, warranty denial, or other loss caused by improper installation, unauthorized installation, modification, misuse, incorrect fitment, inadequate inspection, or failure to follow manufacturer instructions.
Non-professional purchasers, including hobbyists and do-it-yourself purchasers, assume all risks associated with purchase, handling, installation, use, and modification of the product.
Upfitter Supply Co. is not an installation shop unless expressly stated in writing for a specific project. Through its network, Upfitter Supply Co. may help identify upfitters, installers, or suppliers near a buyer, but any installation agreement is separate from these Terms unless expressly accepted by Upfitter Supply Co. in writing.
4Emergency Equipment and Legal Compliance
Certain products, including warning lights, sirens, speakers, controllers, push bumpers, partitions, firearm mounts, radio equipment, and public-safety accessories, may be restricted by federal, state, local, agency, or fleet rules.
The legality of installing or using a product may depend on the vehicle, user, jurisdiction, color, flash pattern, sound output, mounting location, and intended use.
The buyer is solely responsible for determining whether the purchase, installation, possession, and use of any product complies with all applicable laws, regulations, agency policies, and fleet requirements.
Upfitter Supply Co. does not represent that any product is legal for street use, emergency response use, private security use, off-road use, public-safety use, or any other specific use unless expressly stated in writing.
Buyers and installers are responsible for avoiding any modification that unlawfully disables, degrades, removes, or makes inoperative any required safety device, lighting system, restraint system, visibility system, emissions system, or other regulated vehicle component.
5Orders and Acceptance
All orders are subject to acceptance by Upfitter Supply Co. We may refuse, cancel, or limit any order for any reason, including pricing errors, inventory errors, supplier availability, suspected fraud, restricted-product concerns, shipping limitations, compliance concerns, or inability to verify buyer information.
Receipt of an order confirmation does not guarantee acceptance of an order or availability of a product.
If an order is canceled after payment, the buyer's remedy is limited to a refund of the amount paid for the canceled item.
6Pricing, Taxes, and Payment
Prices are listed in U.S. dollars unless otherwise stated. Prices, product availability, discounts, shipping charges, and lead times may change without notice.
The buyer is responsible for all applicable taxes, duties, fees, and charges related to the purchase, shipment, receipt, installation, and use of products.
Payment must be received and cleared before fulfillment unless Upfitter Supply Co. has approved written credit terms.
Upfitter Supply Co. may charge or pass through processing fees, shipping fees, handling fees, storage fees, restocking fees, or other transaction-related charges where disclosed.
7Shipping, Delivery, Title, and Risk of Loss
Shipping dates and delivery dates are estimates only.
Upfitter Supply Co. is not liable for delay caused by manufacturers, suppliers, carriers, weather, shortages, customs, force majeure events, incorrect buyer information, or other events outside our control.
Unless otherwise stated in writing, title and risk of loss pass to the buyer when the product is delivered to the carrier or otherwise leaves the possession of Upfitter Supply Co., the supplier, or the fulfillment source.
The buyer is responsible for inspecting all shipments promptly and reporting missing, damaged, or incorrect items within the time period stated in our return and claims policy.
8Returns, Cancellations, and Special Orders
Returns, cancellations, exchanges, and refunds are governed by the return policy posted by Upfitter Supply Co. at the time of purchase.
Certain items may be non-cancelable and non-returnable, including special-order items, custom-configured items, installed items, opened electrical components, used items, clearance items, agency surplus items, discontinued items, and products supplied by third-party sellers subject to supplier restrictions.
Approved returns may be subject to restocking fees, inspection, original packaging requirements, and deduction for missing parts, damage, use, installation attempts, or diminished value.
9Warranty Disclaimer
Unless Upfitter Supply Co. expressly provides a separate written warranty for a specific product, Upfitter Supply Co. does not provide its own product warranty.
Manufacturer warranties, supplier warranties, or third-party warranties may apply where offered by the manufacturer or supplier, and the buyer's warranty rights are limited to those warranty terms.
To the maximum extent permitted by applicable law, products are sold "as is," "with all faults," and without warranties by Upfitter Supply Co.
Upfitter Supply Co. disclaims all implied warranties, including any implied warranty of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing, course of performance, or usage of trade.
This disclaimer does not limit any written manufacturer warranty that is validly provided by the manufacturer, and it does not limit rights that cannot be waived under applicable law.
10Limitation of Liability
To the maximum extent permitted by applicable law, Upfitter Supply Co. shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, loss of use, vehicle downtime, substitute vehicle costs, business interruption, lost contracts, or loss of goodwill.
Upfitter Supply Co.'s total liability for any claim arising out of or related to a product, order, transaction, website use, or these Terms shall not exceed the amount paid by the buyer for the specific product giving rise to the claim.
11Indemnification by Buyer
The buyer agrees to defend, indemnify, and hold harmless Upfitter Supply Co., its owners, officers, employees, contractors, suppliers, and affiliates from and against any claims, damages, losses, liabilities, penalties, fines, costs, and expenses, including reasonable attorney's fees, arising out of or related to the buyer's installation, modification, use, resale, misuse, unlawful use, unauthorized use, or improper handling of any product purchased through Upfitter Supply Co.
12Marketplace Transparency
Upfitter Supply Co. may display seller information on product pages, order confirmations, account pages, receipts, or other transaction records where required by law or where we determine that disclosure is appropriate for buyer transparency.
Products may be sold by Upfitter Supply Co., by a third-party supplier, by a manufacturer, by an upfitter, by an agency surplus seller, or by another approved marketplace participant.
Product listings may identify the seller type, fulfillment source, warranty source, product condition, return eligibility, and whether the product is sold directly by Upfitter Supply Co. or by a third-party seller through the marketplace.
Buyers may report suspicious marketplace activity, counterfeit concerns, stolen-product concerns, unsafe products, misleading listings, seller misconduct, warranty issues, or other improper activity by contacting Upfitter Supply Co. through the reporting method provided on the website.
Upfitter Supply Co. may investigate reports, request information from sellers, suspend listings, hold orders, delay payouts, notify affected buyers, remove products, terminate seller access, or take other action that we determine is reasonably necessary to protect buyers, comply with law, preserve marketplace integrity, or reduce safety risk.
13Marketplace Network Standards
Upfitter Supply Co. exists to help buyers, suppliers, agencies, manufacturers, upfitters, and inventory owners move useful equipment through a trusted network.
Participation in the marketplace requires honesty, good faith, fair dealing, and commercially reasonable cooperation.
All users, including buyers, suppliers, sellers, agencies, upfitters, manufacturers, resellers, and marketplace participants, must use the Upfitter Supply Co. network in a truthful, lawful, and productive manner.
Users may not abuse the platform, misrepresent facts, manipulate listings, interfere with transactions, misuse marketplace information, or act in a way that undermines buyer trust, supplier trust, marketplace integrity, or the purpose of the network.
Upfitter Supply Co. may investigate, restrict, suspend, remove, or terminate any user, listing, order, supplier account, buyer account, or marketplace relationship if we determine that a participant has acted dishonestly, abusively, fraudulently, deceptively, disruptively, or in bad faith.
14Buyer Conduct and Good-Faith Purchasing
Buyers must provide accurate information when making inquiries, submitting orders, requesting quotes, reporting issues, requesting returns, disputing charges, or communicating with Upfitter Supply Co., suppliers, sellers, or other marketplace participants.
Buyers may not submit false claims, false damage reports, false warranty claims, false non-delivery claims, false chargebacks, false identity information, or misleading product complaints.
Buyers may not misuse return policies, payment-dispute systems, warranty processes, seller communications, or marketplace reporting tools.
Buyers may not use Upfitter Supply Co. to obtain supplier information, product sourcing information, quote details, part availability, or marketplace contacts for the purpose of avoiding an active Upfitter Supply Co. transaction, circumventing marketplace fees, interfering with a pending order, or soliciting a supplier to move a transaction off-platform.
Buyers remain free to purchase products from other sources. However, buyers may not misuse Upfitter Supply Co.'s quotes, listings, supplier relationships, product research, inventory data, or marketplace communications to intentionally disrupt, bypass, or undermine an active transaction, quote, order, supplier introduction, or marketplace process.
Upfitter Supply Co. may cancel orders, deny returns, reject warranty support, restrict account access, refuse future sales, report suspected fraud, recover costs, or pursue other remedies if a buyer acts dishonestly, abusively, fraudulently, or in bad faith.
15Prohibited Conduct
No user may engage in conduct that damages, disrupts, manipulates, or undermines the Upfitter Supply Co. marketplace or network.
Prohibited conduct includes false, incomplete, or misleading information; fraudulent listings; fake inventory; counterfeit products; stolen products; false warranty claims; false damage claims; false chargebacks; fake reviews; shill activity; duplicate listings intended to manipulate visibility; abusive communication; harassment; threats; intimidation; spam; scraping; unauthorized data collection; misuse of buyer or supplier information; interference with active transactions; off-platform circumvention; refusal to cooperate with reasonable documentation requests; and any conduct that Upfitter Supply Co. determines is dishonest, unsafe, unlawful, abusive, deceptive, or materially unproductive.
Upfitter Supply Co. may take action based on suspected prohibited conduct before a final determination is made if we believe action is reasonably necessary to protect buyers, suppliers, the public, the marketplace, payment systems, product safety, or legal compliance.
16Seller Verification and INFORM Consumers Act Compliance
Upfitter Supply Co. may be required by federal law to collect, verify, maintain, and disclose certain information about third-party sellers that qualify as high-volume third-party sellers under the INFORM Consumers Act or any similar federal, state, or local marketplace-transparency law.
A seller may qualify as a high-volume third-party seller if, during any continuous 12-month period within the previous 24 months, the seller has completed 200 or more discrete sales or transactions of new or unused consumer products through the Upfitter Supply Co. marketplace and has generated $5,000 or more in gross revenue from those marketplace transactions.
When required by law or by Upfitter Supply Co. policy, third-party sellers must provide accurate and current verification information, which may include bank account or payee information, tax identification information, government-issued identification or business records, legal name, business name, physical address, working email address, and working phone number.
Sellers must promptly update any changed information and must certify the accuracy of their information at least annually or more often if requested.
Where required by law, Upfitter Supply Co. may disclose certain seller information to buyers, including the seller's name, business name, physical address, return address, working phone number, working email address, or other direct electronic contact method.
17Seller Data and Verification Information
Upfitter Supply Co. may collect and process seller verification information as required by law, marketplace policy, payment processors, tax rules, fraud-prevention systems, or supplier onboarding requirements.
Upfitter Supply Co. may use seller verification information to verify identity, process payments, support tax compliance, prevent fraud, comply with marketplace transparency laws, investigate suspicious activity, resolve customer disputes, enforce supplier obligations, and manage legal or regulatory requirements.
Upfitter Supply Co. will use commercially reasonable administrative, technical, and physical safeguards to protect seller verification information.
18Supplier Marketplace and Inventory Agreement
These Supplier Terms apply to any supplier, manufacturer, dealer, upfitter, agency, reseller, consignor, or inventory owner that lists, sells, consigns, stores, drop-ships, or supplies products through Upfitter Supply Co.
Supplier is solely responsible for the accuracy, legality, safety, quality, labeling, packaging, and warranty status of all products supplied or listed by Supplier.
Supplier warrants that it has good title to all products supplied and that the products are authentic, lawful, non-counterfeit, and not subject to any undisclosed lien, restriction, recall, safety notice, or sale prohibition.
19Supplier Conduct and Marketplace Integrity
Supplier must participate in the Upfitter Supply Co. network in good faith.
Supplier may not list products that Supplier does not own, control, have authority to sell, or have a reasonable ability to fulfill, and may not knowingly list unavailable inventory, create duplicate or misleading listings, advertise false pricing, conceal material product defects, misstate warranty coverage, misrepresent product condition, or fail to disclose material restrictions.
Supplier may not engage in bait-and-switch conduct, and may not use buyer leads, quote requests, order information, or network relationships obtained through Upfitter Supply Co. to circumvent the marketplace, avoid fees, undercut an active quote or order, or divert a transaction that originated through the marketplace.
Upfitter Supply Co. may remove listings, cancel orders, hold payouts, offset amounts owed, restrict supplier access, require additional verification, require a reserve, terminate supplier participation, or pursue other remedies if Supplier acts dishonestly, deceptively, abusively, disruptively, or in bad faith.
20Non-Circumvention of Marketplace Transactions
Supplier may not knowingly bypass, avoid, or circumvent Upfitter Supply Co. in connection with any buyer, lead, quote, order, introduction, inventory opportunity, or transaction that originated through Upfitter Supply Co.
If Supplier completes, redirects, or attempts to complete a marketplace-originated transaction outside Upfitter Supply Co. without written approval, Upfitter Supply Co. may charge the applicable marketplace fee, commission, listing fee, referral fee, administrative fee, or other amount that would have applied to the transaction, and may suspend Supplier, remove listings, hold payouts, or terminate the relationship.
This section does not prohibit Supplier from conducting ordinary business with customers it can document were already active or independently sourced before the Upfitter Supply Co. introduction. Supplier bears the burden of showing that an off-platform transaction was independently sourced and not marketplace-originated.
21Supplier Authenticity, Title, and Listing Integrity
Supplier warrants that every product listed, supplied, shipped, consigned, stored, or sold through Upfitter Supply Co. is authentic, lawfully owned, accurately described, and legally available for sale, and that no product is counterfeit, stolen, misappropriated, unlawfully imported, subject to an undisclosed lien or recall, materially altered without disclosure, falsely labeled, or listed in violation of any manufacturer restriction, intellectual-property right, distribution agreement, dealer policy, safety rule, or applicable law.
Upfitter Supply Co. may require Supplier to provide proof of purchase, invoices, manufacturer or distributor authorization, serial-number records, photographs, inspection records, warranty documents, or recall records showing lawful source and authenticity.
If Upfitter Supply Co. determines or reasonably suspects that a product is counterfeit, stolen, unsafe, misdescribed, restricted, recalled, improperly sourced, or unlawfully listed, it may remove the listing, cancel orders, notify affected buyers, withhold payouts, require return or disposal, suspend Supplier, or terminate Supplier's account.
22Product Listings and Specifications
Supplier must provide accurate product names, part numbers, descriptions, photos, fitment information, condition details, warranty terms, lead times, prices, and restrictions.
Upfitter Supply Co. may edit, reject, suspend, or remove any listing at any time for quality, safety, legal, brand, pricing, or customer-service reasons.
23Warranty Flow-Through and Authority
Supplier is responsible for honoring all manufacturer, supplier, or written warranties applicable to products supplied by Supplier, and must provide reasonable support for warranty claims, including documentation, replacement parts, return authorization, and customer-service coordination.
Supplier may not list a product as "new," "new with warranty," "manufacturer warranty," "authorized," or "factory direct," or similar, unless Supplier has the legal right and practical ability to sell the product in that condition and with that representation, and must identify the warranty source for each product.
If a manufacturer denies warranty coverage because of Supplier's source, authorization status, sales channel, product age, condition, serial number, prior use, or distribution restriction, Supplier remains responsible for the warranty representation made in the listing.
24Returns, RMAs, and Supplier Compliance
Supplier must cooperate with Upfitter Supply Co. on returns, cancellations, incorrect shipments, damaged items, defective products, and customer claims, and must provide a clear return authorization process and promptly replace, credit, or refund products that are defective, misdescribed, counterfeit, recalled, unsafe, incorrectly shipped, or not delivered as represented.
Supplier warrants that all supplied products comply with applicable federal, state, and local laws, rules, regulations, safety standards, labeling rules, intellectual-property laws, import laws, and industry requirements, and is responsible for identifying any product restrictions, including restrictions related to emergency lighting, sirens, radio equipment, public-safety accessories, vehicle safety systems, or regulated vehicle modifications.
25Recalls, Safety Notices, and Product Defects
Supplier must promptly notify Upfitter Supply Co. of any recall, safety notice, stop-sale notice, product defect, warranty campaign, installation hazard, compatibility issue, counterfeit concern, regulatory concern, manufacturer warning, or customer safety complaint involving any product supplied or listed by Supplier, and must cooperate fully with any recall, safety review, customer notification, return, replacement, repair, credit, refund, investigation, or corrective action.
Supplier is responsible for costs, claims, losses, penalties, chargebacks, refunds, replacement products, shipping charges, customer claims, and attorney's fees arising from Supplier's defective, unsafe, recalled, counterfeit, misdescribed, or noncompliant product. Upfitter Supply Co. may immediately suspend or remove any product if a safety, recall, defect, compliance, or authenticity concern is identified.
26Supplier Insurance Expectations
Upfitter Supply Co. may require Supplier to maintain insurance coverage that is commercially reasonable for the products sold, the volume of transactions, the risk profile of the product category, and Supplier's role in the marketplace.
Where appropriate, Upfitter Supply Co. expects business suppliers, manufacturers, distributors, high-volume sellers, drop-shippers, and sellers of warranty-bearing products to maintain active commercial general liability insurance and product liability insurance, and may request certificates of insurance, policy limits, endorsements, additional insured status, or renewal records. Failure to provide requested proof of insurance may result in delayed approval, listing restrictions, payout holds, product removal, account suspension, or termination.
27Documentation, Audit Rights, and Cooperation
Supplier must maintain accurate records related to products listed or sold through Upfitter Supply Co., including purchase records, invoices, bills of sale, manufacturer documentation, distributor records, warranty records, serial numbers, shipping records, customer communications, recall notices, insurance records, and tax documentation.
Upon request, Supplier must provide documentation reasonably needed to verify product source, warranty authority, legal compliance, seller identity, fulfillment performance, insurance coverage, tax compliance, customer claims, chargebacks, recalls, safety issues, or marketplace transparency requirements. Failure to cooperate may result in listing removal, payout holds, account suspension, offset, termination, or other remedies.
28Payout Holds, Reserves, and Risk Controls
Upfitter Supply Co. may delay, hold, offset, or reserve Supplier payouts when reasonably necessary to protect buyers, process returns, cover chargebacks, address warranty claims, investigate fraud, confirm delivery, verify product authenticity, comply with law, resolve customer disputes, or manage marketplace risk.
Upfitter Supply Co. may apply payout holds, rolling reserves, minimum balances, delayed disbursements, or account-level reserves to new suppliers, high-volume sellers, suppliers with elevated dispute rates, sellers of high-risk or warranty-bearing products, suppliers with incomplete verification or insurance documentation, drop-shippers, agency surplus sellers, or suppliers with unresolved customer claims.
Payout holds and reserves do not limit Supplier's obligations. Supplier remains responsible for refunds, chargebacks, warranty costs, return shipping, defective products, recalls, safety issues, penalties, fees, and other amounts owed even if pending payouts are insufficient.
29Payment Method on File and Charge Authorization
As a condition of listing, supplying, drop-shipping, consigning, storing, or selling products through Upfitter Supply Co., Supplier may be required to maintain a valid payment method on file, which may include a credit card, debit card, ACH authorization, bank account, reserve account, or other approved method.
Supplier authorizes Upfitter Supply Co. to charge, debit, withhold, reserve, or offset amounts owed by Supplier, including marketplace fees, listing fees, storage fees, shipping charges, return shipping, customer refunds, chargebacks, warranty costs, replacement costs, defective-product claims, recall costs, unpaid invoices, and penalties. Upfitter Supply Co. may first deduct amounts owed from pending or future payouts, and if payouts are insufficient may charge the payment method on file after reasonable notice.
30Payment, Offsets, and Termination
Payment terms must be agreed in writing. Upfitter Supply Co. may offset amounts owed to Supplier against refunds, chargebacks, customer credits, warranty costs, return costs, storage charges, shipping charges, penalties, or other amounts owed by Supplier.
Upfitter Supply Co. may suspend or terminate Supplier's account, remove listings, hold payments, reject inventory, or stop selling Supplier's products at any time if it identifies safety concerns, customer-service issues, legal risk, poor fulfillment, suspected counterfeit goods, inaccurate listings, unresolved warranty claims, or breach of these Terms.
31Supplier Indemnification
Supplier shall defend, indemnify, and hold harmless Upfitter Supply Co., its owners, officers, employees, contractors, customers, affiliates, and marketplace users from and against all claims, damages, losses, liabilities, penalties, fines, costs, and expenses, including reasonable attorney's fees, arising out of or related to Supplier's products, listings, defects, design flaws, manufacturing flaws, inadequate warnings, warranty obligations, intellectual-property violations, counterfeit products, regulatory violations, shipping failures, misrepresentations, or breach of these Terms.
32Dispute Resolution
Before filing any arbitration or legal proceeding, the parties agree to make a good-faith effort to resolve the dispute informally by written notice describing the claim, the requested relief, and the facts supporting the claim.
If the dispute is not resolved informally, any claim arising out of or relating to these Terms, the website, or a purchase shall be resolved by binding arbitration administered by the American Arbitration Association under the rules applicable to the nature of the dispute. Business-to-business disputes may be administered under the AAA Commercial Arbitration Rules, and consumer disputes under the AAA Consumer Arbitration Rules where applicable.
The place of arbitration shall be Chatham County, Georgia, unless applicable law or AAA rules require otherwise. The parties waive the right to trial by jury and the right to participate in a class action, collective action, private attorney general action, or representative proceeding, to the extent permitted by law. Either party may bring an individual claim in small claims court if the claim qualifies.
33Governing Law
These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law rules, except where federal law controls.
34Changes to Terms
Upfitter Supply Co. may update these Terms from time to time. The version posted at the time of purchase will generally govern that purchase, unless a change is required by law or applies to website use after the update.
35Contact and Reporting
